South Korean technology giant Kakao is preparing for one of the most significant changes in its corporate history.

The KakaoAI restructuring will separate the company’s core platform operations, including KakaoTalk, artificial intelligence, advertising and commerce, from its investment-heavy businesses. The platform company is tentatively being called KakaoAI, while the investment-focused business will operate under the proposed name KakaoX.

Kakao said on Friday, August 21, that the restructuring is intended to strengthen business specialisation and address what it described as a “conglomerate discount”, a problem that can arise when investors struggle to assign full value to a company with numerous businesses under a single corporate umbrella.

The move is bigger than a corporate name change. Kakao is effectively drawing a line between the business that runs one of South Korea’s most influential digital platforms and the portfolio of investments it has accumulated across fintech, mobility and content.

And at the centre of that new structure is AI.

What Is the KakaoAI Restructuring?

Under the planned KakaoAI restructuring, Kakao intends to divide its operations into two more clearly defined companies.

KakaoAI, the tentative name of the platform-focused company, will house:

  • KakaoTalk
  • Artificial intelligence
  • Advertising
  • Commerce
  • Other platform-driven businesses

KakaoX, meanwhile, will focus on managing and developing Kakao’s investments in businesses including:

  • Fintech
  • Content
  • Mobility

Kakao expects the corporate split to take effect on January 1, 2027, with the new KakaoAI entity expected to relist on the Korea Exchange on January 27, 2027.

The names remain tentative, meaning details could still change as the restructuring moves through the required corporate and regulatory processes.

Why Kakao Is Making This Move Now

Kakao has spent years expanding far beyond messaging.

What began with KakaoTalk has developed into a broad ecosystem spanning digital payments, mobility, entertainment, commerce, advertising, and other internet services. That scale created new revenue opportunities, but it also made the company increasingly complex.

The KakaoAI restructuring is an attempt to simplify that story.

For investors, a focused platform company could make it easier to evaluate the economics of KakaoTalk, advertising, commerce, and AI without those businesses being mixed with the performance and capital requirements of numerous portfolio companies.

For management, the separation could allow the AI-focused business to make investment and product decisions around a clearer objective.

Kakao itself said the restructuring is aimed at addressing the conglomerate discount while strengthening business specialisation.

That distinction is important. Kakao is not simply adding AI to its existing corporate structure. It is reorganising that structure around AI.

KakaoTalk Could Become KakaoAI’s Biggest Advantage

The most interesting part of Kakao’s strategy may not be its AI models. It may be KakaoTalk.

AI companies around the world are competing to build models, agents, and applications. Kakao already has something many of them are trying to acquire: a digital service deeply embedded in the everyday lives of millions of users.

The company has increasingly signalled its intent to bring agentic AI directly into KakaoTalk.

Earlier this month, Kakao said it plans to introduce AI experiences that could allow people to carry out everyday actions such as ordering products, making reservations, and completing payments through KakaoTalk.

CEO Shina Chung has argued that success in agentic AI will depend not only on building powerful models but also on understanding user context and connecting intent with real-world actions.

That strategy changes the competitive question.

Instead of asking whether Kakao can build the world’s most powerful general-purpose AI model, investors may increasingly ask whether Kakao can turn its existing distribution, user relationships and commerce ecosystem into one of Asia’s most commercially useful AI platforms.

KakaoAI Gets Ambitious 2030 Targets

Kakao is pairing the restructuring with aggressive long-term financial ambitions.

The company has set a 2030 revenue target of at least KRW 6 trillion for KakaoAI, alongside an operating margin above 30%.

KakaoX has an even larger top-line target, with the company aiming for at least KRW 10 trillion in revenue by 2030.

For perspective, Kakao reported consolidated revenue of approximately KRW 8.1 trillion in 2025.

Those targets give investors a clearer way to judge whether the restructuring is producing the intended results.

KakaoAI will need to prove that it can convert AI adoption into advertising, commerce and platform revenue while maintaining attractive margins. KakaoX, meanwhile, will have to demonstrate that Kakao’s broader portfolio can produce value without depending on the core messaging platform to tell its growth story.

Kakao’s Core Platform Business Is Already Growing

The timing of the KakaoAI restructuring also comes as Kakao’s core platform operations are showing stronger financial momentum.

For the second quarter of 2026, Kakao reported:

  • KRW 2.1 trillion in consolidated revenue, up 9% year on year
  • KRW 277 billion in operating profit, up 36%
  • KRW 1.23 trillion in platform revenue, up 17%
  • KRW 643.2 billion in Talk Biz revenue, up 12%

Advertising and subscription revenue within Talk Biz reached KRW 399.9 billion, while Talk Biz Commerce generated KRW 243.2 billion.

Those numbers help explain why Kakao sees its platform assets as strong enough to stand at the centre of a more focused public company.

It is not building KakaoAI around an experimental AI division with little existing revenue. It is combining AI with established businesses already generating money from advertising, commerce and digital interactions.

The Real Bet Is AI Monetisation, Not Just AI Technology

For Kakao, the challenge is now turning AI from a product feature into an economic engine.

Generative AI has created enormous investment across the global technology sector, but the next stage of competition is increasingly about monetisation.

Kakao has several routes available.

An AI layer inside KakaoTalk could improve advertising targeting, product discovery, customer service, shopping, reservations and payments. AI agents could also connect users with third-party businesses through Kakao’s platform.

This creates the possibility of AI influencing several revenue streams simultaneously rather than existing as a standalone subscription product.

Kakao has also been developing its own AI technology. The company has worked on its Kanana family of AI models and has introduced smaller language models while building an ecosystem intended to connect AI services with everyday use cases.

The KakaoAI restructuring makes those efforts much more central to the company’s valuation story.

Kakao Is Also Promising Shareholder Returns

The restructuring is not being pitched solely as a growth strategy.

Kakao has also pledged KRW 300 billion in share buybacks and cancellations over three years following the split.

That matters because the company is explicitly linking its corporate reorganisation with shareholder value.

Breaking a conglomerate into more focused businesses can theoretically make each part easier to value. But structural changes alone do not guarantee a higher valuation.

Investors will ultimately judge Kakao on whether the split produces better capital allocation, stronger profitability, and clearer returns.

The buyback commitment gives shareholders something more tangible to evaluate alongside management’s longer-term promises.

KakaoX Will Carry Another Important Part of the Story

The creation of KakaoAI does not make Kakao’s other businesses irrelevant.

Quite the opposite.

KakaoX is expected to manage and develop stakes across fintech, content, and mobility, giving the company a vehicle focused specifically on extracting value from those investments.

That could become particularly important as individual businesses mature, raise capital, or potentially pursue their own strategic transactions.

Separating those holdings from KakaoTalk and the AI platform may make it clearer whether Kakao’s portfolio creates value or adds complexity.

That is one of the most consequential questions behind the entire restructuring.

KakaoAI Restructuring Reflects a Bigger Tech Industry Shift

Kakao’s decision also fits a broader change taking place across global technology.

For the first phase of the AI boom, much of the attention went to model developers and semiconductor companies.

The next phase is moving closer to distribution.

Companies that already control communications platforms, operating systems, search engines, marketplaces and payment ecosystems have an opportunity to integrate AI directly into activities consumers perform every day.

Kakao occupies an unusual position in that race.

Its strength is not on a global scale comparable to Meta, Google, or Microsoft. Its strength is the depth of KakaoTalk’s position in South Korea and the number of services that can potentially connect to that platform.

If AI agents become a primary way consumers search, shop, book, pay, and communicate, KakaoTalk could become much more than a messaging application.

That is the strategic thesis KakaoAI will now have to prove.

What Investors Should Watch Next

There are several key developments to follow before the proposed January split.

First is the execution of the restructuring itself. The names KakaoAI and KakaoX remain tentative, and the process still has several months to run.

Second is AI adoption inside KakaoTalk. Investors will want evidence that new AI tools increase engagement, transactions, or monetisation rather than simply raising technology costs.

Third is profitability.

A 30%-plus operating margin target for KakaoAI by 2030 sets a demanding benchmark. AI infrastructure and development are expensive, meaning Kakao will need revenue growth to outpace the cost of building its new services.

Finally, the market will watch how KakaoX handles its investment portfolio and whether the separation genuinely reduces the valuation discount Kakao is trying to address.

The Bigger Picture

The KakaoAI restructuring marks an important strategic reset for one of South Korea’s largest internet companies.

Kakao spent years expanding its ecosystem. It is now trying to make that ecosystem easier to understand.

One company will be built around KakaoTalk, AI, advertising, and commerce. The other will concentrate on investments across fintech, content, and mobility.

The logic is straightforward: give the core platform a clearer AI identity, give the investment portfolio a distinct mandate, and make it easier for investors to judge each business on its own merits.

But the success of the strategy will not be decided by the corporate split itself.

It will depend on whether Kakao can turn KakaoTalk’s enormous everyday relevance into profitable AI usage.

That makes January’s planned restructuring the beginning of the experiment, not the end.
